Independent Sales Partner Agreement
Independent Sales Partner Agreement · version 2026-10-10
This agreement is between ASCENDANT ("ASCENDANT", "we") and you ("Partner"). It starts when you accept it in the partner portal.
1. Independent contractor
You are an independent contractor, not an employee, agent or joint venturer of ASCENDANT. You receive no salary, benefits or expense reimbursement.
You decide your own methods, hours, location and tools, and you pay your own expenses. There are no quotas, required hours, meetings or scripts. Material we provide, like the playbook, is optional guidance.
This relationship is non-exclusive: you may work for or sell for other companies.
You are responsible for your own taxes. ASCENDANT will ask for a W-9 through its payment platform before your first payout and will issue a Form 1099 where the law requires.
2. Commission
For each client you refer who signs with ASCENDANT and pays their deposit, you earn $750: $500 once the client has signed and their deposit has cleared, and $250 once their website launches.
A client is credited to you when they first arrive through your personal link or code, or receive a proposal you sent, and they sign within the credit window. The first partner to reach a client keeps the credit. ASCENDANT's records decide credit.
Bonuses (monthly and all-time) are as listed in the portal at the time of the close, and are paid with the following payout. ASCENDANT may change bonuses for future closes with notice in the portal.
Commissions are paid by ASCENDANT within 15 days after the end of the month in which they are earned, by the method agreed with you. No commission is earned on monthly fees, extra work or renewals unless agreed in writing.
3. Refunds and cancellations
If a client receives a refund or chargeback, or cancels before launch, the related commission is not earned. Anything already paid for that client may be offset against your future commissions, with a written statement. It is never deducted from you in any other way.
4. No authority to bind or collect
You may not sign contracts, set or change prices, promise extra work, or accept any payment on ASCENDANT's behalf. All clients pay ASCENDANT directly.
You will describe yourself as an independent partner of ASCENDANT and never as an employee, and you will not use ASCENDANT's name or logo in advertising without written permission.
5. Compliance with outreach laws
You will follow every law that applies to your outreach, including the Telephone Consumer Protection Act, the national Do Not Call rules, the CAN-SPAM Act, the Telemarketing Sales Rule, Texas Business and Commerce Code chapters 302 and 304, and the laws of the state you or the business are in.
In particular: no autodialers, robocalls, prerecorded or artificial voices, or mass texting; check the Do Not Call registry before cold calls; call or text only between 8am and 9pm in the recipient's time zone; include your name, a postal address and an opt-out in cold email; and stop contacting anyone who asks, telling ASCENDANT within 10 business days.
You will make no false or misleading statements, including about results, rankings, guarantees or other clients.
You will indemnify ASCENDANT for claims caused by your breach of this section, and ASCENDANT may end this agreement immediately for any breach of it.
6. Proposals sent through the portal
Proposals you send from the portal are emailed by ASCENDANT from its own address. You may send up to 50 a day, only to businesses you have spoken with or researched, and never to anyone who has opted out.
7. Confidentiality and data
Keep ASCENDANT's non-public information and all client and prospect details confidential, use them only for this program, and delete or return them when this agreement ends. Never ask a business for passwords or logins.
8. Non-solicitation
For 12 months after this agreement ends, you will not use ASCENDANT's confidential information to divert a client you were introduced to through this program. This does not limit any right you have under the law of your state (for example, California Business and Professions Code section 16600).
9. Ending the agreement
Either of us may end this agreement at any time by written notice, including email. Commissions on clients who signed before it ended are still paid as they are earned.
10. General
This agreement is governed by the laws of the State of Texas, except where the law of your state requires otherwise. It is the whole agreement between us about the program, and changes must be in writing (including in the portal, with your acceptance).
You agree to sign electronically. Your typed name, the date and time, and your IP address are recorded as your signature.
